Terms & Conditions (Directory Listings)

These Terms & Conditions (“Terms”) govern participation in the Helen’s Daughters Directory (the “Directory”) and apply to anyone who submits or manages a listing (“you,” “your,” “Vendor,” “Lister”). By submitting a listing, creating an account (if applicable), or using the Directory, you agree to these Terms.
If you do not agree, do not submit a listing or use the Directory.
1) Directory Purpose
The Directory is a platform for showcasing businesses and products/services. Helen’s Daughters does not facilitate transactions unless explicitly stated otherwise in writing. Any purchases, payments, deliveries, returns, and customer service arrangements are handled directly between buyers and vendors.
2) Listing Eligibility
By submitting a listing, you confirm that:
- You are authorized to represent the business or offering being listed; and
- Your products/services are lawful to advertise and sell in your jurisdiction and to the audiences you target.
We may require additional information to verify listings.
3) Accuracy of Information
You agree to provide truthful, accurate, and up-to-date listing information, including (where shown):
- pricing,
- availability,
- contact details, and
- product/service descriptions.
You are responsible for promptly updating your listing if details change.
4) Content Ownership and License
You represent and warrant that:
- You own or have permission to use all photos, logos, images, and text you submit; and
- Your submitted content does not infringe any third-party rights (including copyright, trademark, privacy, or publicity rights).
By submitting content, you grant Helen’s Daughters a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and promote your listing content for the purposes of operating, marketing, and improving the Directory (including on our website, social media, email communications, and related promotional materials). You may request removal at any time (see Section 8).
5) Review, Editing, Approval, and Removal
Helen’s Daughters may:
- edit submissions for clarity, formatting, length, and consistency (without changing the meaning); and
- approve, reject, suspend, or remove listings at our discretion.
We may remove or refuse listings, for example, if we believe they:
- violate these Terms or other policies,
- fail to meet quality standards,
- contain misleading information, or
- create legal, reputational, or safety risks.
6) Prohibited Content and Conduct
You agree not to submit content or use the Directory in a way that includes or promotes:
- misleading, deceptive, or false claims
- hate speech, harassment, threats, or discriminatory content
- explicit sexual content
- illegal goods/services, stolen goods, or content encouraging unlawful activity
- content that violates another person’s rights or privacy
- malware, spam, or attempts to disrupt the website or Directory
We may report illegal activity to relevant authorities where required.
7) No Guarantee of Results / No Endorsement
We do not guarantee:
- listing approval,
- listing visibility, traffic, or customer inquiries,
- sales, bookings, or any business outcomes.
A listing appearing in the Directory does not mean Helen’s Daughters endorses the vendor, products, services, or claims. Users should do their own due diligence before engaging with any vendor.
8) Changes, Removal Requests, and Account Responsibilities (if applicable)
You may request edits or removal of your listing at any time by contacting info@helensdaughters.org.
If your listing is connected to an account, you are responsible for maintaining the confidentiality of your login details and for all actions taken through your account.
9) Disputes Between Buyers and Vendors
Helen’s Daughters is not responsible for purchases, payments, shipping/delivery, returns, refunds, chargebacks, warranties, or disputes between buyers and vendors. Any such issues must be resolved directly between the buyer and vendor.
10) Intellectual Property
The Directory, website design, logos, branding, and content created by Helen’s Daughters (excluding vendor-submitted content) are owned by Helen’s Daughters or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or exploit our materials without written permission.
11) Disclaimer (“As Is”)
The Directory and website are provided “as is” and “as available.” To the fullest extent permitted by law, Helen’s Daughters disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
12) Limitation of Liability
To the fullest extent permitted by law, Helen’s Daughters will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or business opportunities arising from or related to:
- your use of the Directory,
- your listing’s approval, rejection, or removal,
- interactions or transactions between vendors and buyers, or
- reliance on any content in the Directory.
If liability cannot be excluded, it will be limited to the minimum extent permitted by applicable law.
13) Indemnity
You agree to indemnify and hold harmless Helen’s Daughters, its officers, directors, employees, and partners from any claims, damages, liabilities, losses, and expenses (including legal fees) arising from:
- your listing content,
- your breach of these Terms, or
- your products/services and interactions with buyers.
14) Changes to These Terms
We may update these Terms from time to time. The “Last updated” date at the top will reflect the latest version. Continuing to use or participate in the Directory after updates means you accept the revised Terms.
